Welcome to Lawson Enterprises ("Support Company").

These Terms of Service ("Terms") govern your engagement as an independent contractor ("Agent" or "Contractor") providing call center support services.

By accessing this website and using our services, you agree to these Terms. Please read them carefully.

INDEPENDENT AGENT SERVICING AGREEMENT

This Agreement for Call Center Support Services with Independent Agents is entered into between Mogul Mama Empire, LLC DBA Lawson Enterprises ("Support Company") and ("Agent").Collectively, the parties shall be referred to as the "parties," and individually as a "party." In consideration of the mutual covenants included in this Independent Contractor Agreement, and other valuable considerations, the parties agree as follows:

A. NATURE OF RELATIONSHIP:

Independent Contractor Status: The Agent acknowledges that they are an independent contractor and not an employee of Support Company, Arise, ACD Direct, or any Client the Agent chooses to serve. As an independent contractor, the Agent is responsible for paying their own applicable Federal, State, or local taxes.Freedom to Engage in Other Ventures: The Agent acknowledges that they are free to engage in other independent trade, occupation, profession, or business ventures, including representing competitors or holding other full-time occupations.Service Flexibility: The Agent is not obligated to exclusively serve the Support Company and may provide services to other clients within the same field of work.

B. PLATFORM USAGE FEES:

Support Company's Client Platform Usage Fee: Agent understands that each of Support Company's clients charges a separate Platform Usage Fee. As such, if the Agent serves two separate clients, two Platform Usage Fees will be deducted from the Agent's earnings on a bi-monthly basis.

Support Company's Platform Usage Fee: Agent agrees to pay Support Company a bimonthly usage fee, referred to as the "Platform Usage Fee," for the Support Company services, set at $55.00 for the full term of the Statement of Work. This fee includes a bimonthly usage fee for Arise services ($19.75) or ACD services ($25), depending on the client. If the Agent's earnings do not cover the usage fee, the owed amount will be deducted from the following invoice(s).

C. INDEPENDENT STATUS: Both parties acknowledge and agree that they are independent contractors and retain exclusive control over the manner, means, location, and details of accomplishing the services contracted under this Agreement. Neither party may control how the other meets its contractual obligations.

D. TERMINATION RIGHTS:

Termination by Agent: The Agent has the right to end their relationship with any person/company for whom they provide services, including the Support Company, at any time.Termination Fee: If the Agent terminates the relationship with the Support Company or the Support Company terminates the relationship before a project ("Statement of Work") is completed, the Agent may incur a termination fee of up to {$55}. This fee will be calculated based on the outstanding Support Company usage fees for the signed SOW period. Any unpaid debts will be sent to collections after 90 days of non-payment.

E. COMPLIANCE WITH INSTRUCTIONS: The Agent is not required to comply with instructions regarding when, where, and how they work.

F. CERTIFICATION REQUIREMENTS:

Training and Certification: Support Company does not provide training, and certain certification requirements must be met to provide services to clients. The Agent is responsible for the cost of obtaining the necessary certifications.

Additional Client Certifications: Clients may require additional certifications for compliance with industry standards. These additional certifications are typically unpaid.

G. RELATIONSHIP DURATION: All client offerings posted on the Support Company website are temporary, usually lasting between 30 to 90 days. The Agent may choose to provide services for any contract as an independent contractor. The Support Company's contract ending does not guarantee a new contract, and the Agent may service clients outside of the Support Company and its Clients.

H. FLEXIBLE WORK HOURS:

No Set Hours: The Agent has the freedom to choose their own schedule and work hours based on the clients' needs.

Payment Structure: The Agent is compensated based on performance, providing services actively by the intervals, minutes, or by the call, according to the specific compensation structure defined in each Statement of Work.

I. REMOTE WORK OPTIONS: The Agent is not restricted to working in a specific location and can provide services from a home office space or any other location at their discretion.

J. REVIEW MEETINGS: The Support Company does not require the Agent to provide written or oral reports regularly. Clients may request optional enhancement sessions, online review meetings, or performance monitoring.

K. PROVISION OF TOOLS AND MATERIALS: The Support Company does not provide any tools or materials needed to perform the job or servicing opportunity. The Agent is responsible for providing their own equipment, servicing space, and any materials required for service provision.

L. INVESTMENT:

Equipment and Certifications: The Agent acknowledges that providing services to clients requires an investment, including but not limited to equipment, a background check fee, and certification costs.

Economic Risk: The Agent understands that they may experience a profit or loss based on their service provision, depending on their investments, certifications, and work intervals.

M. CONFIDENTIALITY: The Agent agrees not to disclose any confidential or proprietary information about Support Company, Arise, ACD Direct, or any client affiliate to anyone outside of Support Company.

N. PRIOR AGREEMENTS: This Agreement supersedes and replaces any previous Independent Contractor agreements between the parties.

O. NON-SOLICITATION:For a period of five years after termination, the Agent shall not recruit, solicit, or induce any Independent Contractor of Support Company to terminate their relationship with Support Company.

P. ELECTRONIC AGREEMENT: By accessing this site and registering with our virtual call center, each party acknowledges that they have access to, read, and understood this Agreement and agree to conduct all business electronically.

Q. TAXES/INSURANCE:

Mogul Mama Empire, LLC DBA Lawson Enterprises is not responsible for any State and Federal Tax deductions or benefits listed below due to all agents (Contractors) servicing under our company being 1099 Independent Contractors. State and Federal Taxes Client will not:

withhold FICA (Social Security and Medicare taxes) from Contractor's payments or make FICA payments on Contractor's behalf

make state or federal unemployment compensation contributions on Contractor's behalf, or withhold state or federal income tax from Contractor's payments.

Contractor shall pay all taxes incurred while performing services under this Agreement—including all applicable income taxes and, if Contractor is not a corporation, self-employment (Social Security) taxes.

Upon request, Contractor shall provide Client with proof that such payments have been made

Unemployment Compensation: Support Company shall make no state or federal unemployment compensation payments on behalf of the Contractor. Contractor will not be entitled to these benefits in connection with work performed under this Agreement.

Workers' Compensation: Support Company shall not obtain workers' compensation insurance on behalf of Contractor.

Insurance: Support Company shall not provide insurance coverage of any kind for Contractor or Contractor's employees orcontract personnel.
